Florida Limited Liability Company

Organizing a Florida LLC

Articles of Organization

A Florida limited liability company is formed by filing articles of organization with the Florida Department of State and paying a fee of $125.

1. The name of the limited liability company, which must end with the words "Limited Liability Company," the abbreviation "L.L.C.," or the designation "LLC." (The word "limited" may be abbreviated as "Ltd." and the word "company" may be abbreviated as "Co.")

2. The mailing address and the street address of the principal office of the limited liability company.

3. The name of the registered agent and Florida street address of the registered office. The registered agent must sign and state that he/she is familiar with and accepts the obligations of the position.

4. The name and address of each Manager or Managing Member.

5. If an effective date is listed, the date must be specific and cannot be more than five business days prior to or 90 days after the date of filing of the articles of organization.

6. Articles of organization must be executed by at least one member or authorized representative of a member, and the execution of the document constitutes an affirmation under the penalties of perjury that the facts stated therein are true.

The total filing fee is $125. This is comprised of $100 for the articles of organization plus $25 for the designation of registered agent. A letter of acknowledgment will be issued free of charge upon registration. An optional certified copy of the articles of organization is $30 and an optional certificate of status is $5. Submit one check made payable to the Florida Department of State for the total amount of the filing fees and any optional certificate or copy. A cover letter containing the name, address and daytime telephone number of the individual submitting the articles of organization should be submitted along with the articles of organization and the check.
