Organizing an Indiana LLC
Articles of Organization
An Indiana limited liability company is formed by filing articles of organization with the Indiana Secretary of State and paying a fee of $90. The articles of organization must include:

1. The name of the limited liability company, which must include the words "Limited Liability Company", "L.L.C.", or "LLC".

2. The address of the principal office of the limited liability company (optional).

3. The name of the registered agent and Indiana street address of the registered office. The registered agent must sign and state that he/she is familiar with and accepts the obligations of the position.

4. The latest date upon which the LLC is to dissolve or a statement that the limited liability company is perpetual until dissolution.

5. A statement that the LLC will be managed by its members or managed by a manager or managers and

6. Articles of organization must be executed by an individual who verifies, subject to penalties of perjury, that the facts stated therein are true.
The original and one copy of the articles of organization must be presented to the Secretary of State.
