Organizing a Missouri LLC

Articles of Organization

A Missouri limited liability company is formed by filing Articles of Organization with the Missouri Secretary of State and paying a fee of $105. The name of the limited liability company must contain the words "limited liability company" or "limited company", or the abbreviation "L.L.C.," "LLC" "L.C.," or "LC". The articles of organization must name a registered agent and registered office with a street address in Missouri. The articles of organization must specify whether the LLC is member-managed or manager-managed. The articles of organization must also specify the events, if any, on which the limited liability company is to dissolve or the number of years the limited liability company is to continue, which may be any number or perpetual. The articles of organization must give the names and street addresses of the organizers (who do not need to be members).

Online filing is available for the organization of a domestic Missouri limited liability company only. Foreign limited liability companies organized under the laws of other jurisdictions must apply for authority to do business in the state via a paper application. The online filing fee is $105.00. A credit card and an e-mail address are required for online filing. No more than five organizers may be listed for online filing; to include six or more organizers, the application must be submitted via paper form. Upon completion and submission of the online application, the information provided is of public record and immediately available for public review.
