How to form a

Nevada Limited Liability Company

Organizing a Nevada LLC

A Nevada limited liability company is formed by filing Articles of Organization with the Nevada Secretary of State and paying a fee of $75. Expedited filing is available (see details in Fees section below)

Nevada Series LLC

In 2005, Nevada amended its limited liability company statute to allow LLCs to establish a Series LLC. The statute provides that if the LLC is to have one or more series of members and the debts or liabilities of any series are to be enforceable against the assets of that series only and not against the assets of another series or the company generally, a statement to that effect must be included in the Articles of Organization. In addition, the Articles of Organization must include a statement: (1) Setting forth the relative rights, powers and duties of the series; or (2) Indicating that the relative rights, powers and duties of the series will be set forth in the operating agreement or established as provided in the operating agreement.

24-HOUR EXPEDITE TIME CONSTRAINTS:
Each filing submitted receives same day filing date and may be picked up within 24 hours. Filings to be mailed the next business day if received by 2:00 pm of receipt date and no later than the 2nd business day if received after 2:00 pm. Expedite period begins when filing or service request is received in this office in fileable form. The Secretary of State reserves the right to extend the expedite period in times of extreme volume.
