How to form a

New Jersey Limited Liability Company

Organizing a New Jersey LLC

Certificate of Formation

Under the New Jersey Limited Liability Company Act, one or more persons may organize a limited liability company by executing and delivering a certificate of formation to the Division of Revenue. The organizers need not be members of the limited liability company. Under the New Jersey statute, an LLC may be comprised of one or more members.

The certificate of formation must be filed with the Division of Revenue either online or by filling out and submitting the Public Records Filing for Business Entity (pages 23-24 of the New Jersey Complete Business Registration Package which is available for download at http://www.state.nj.us/treasury/revenue/forms/2000.pdf). The fee for filing this form is $125. The certificate of formation shall set forth all of the following:

1. The name of the limited liability company. The name of the LLC must contain the terms "Limited Liability Company", "L.L.C.", or "LLC". The Division of Revenue will add an appropriate designator if none is provided. The name must be distinguishable from other names on the State’s database. For online flings only, the name of the LLC, without the designator, must be at least four characters in length.

2. The purposes for which the limited liability company is organized.

3. The duration of the limited liability company, which may be perpetual.

4. The name of its registered agent and the address of its registered office. The registered agent may be an individual or a corporation duly registered, and in good standing with the State Treasurer and the registered address must be a New Jersey street address.

5. The main business office of the LLC.

Any authorized representative of the limited liability company may sign the certificate of formation.

Expedited filing is available for an additional fee.
