How to form a Texas LLC (Limited Liability Company)

Organizing a Texas LLC

To register a Texas LLC, you submit the completed Certificate of Formation, Limited Liability Company to the Texas Secretary of State. File the articles by mail, in person, by fax or online. The filing fee is $300. Texas will process filed documents in approximately one week. Fax filing is slightly quicker. Online filings at SOSDirect are processed in one day.

Texas Professional Limited Liability Companies use the same filing processes and fees; however, there is a specific form for PLLCs.

Qualification of a Foreign LLC in Texas

Register your foreign LLC to do business in Texas by filing the Application for Registration of a Foreign LLC to the Texas Secretary of State by mail, in person, fax or online. File the application with the $750 filing fee. No certificate for the home state is required.
